Broker disclosure & funding notice

Draft for legal and business review. The disclosures and terms on this page must be confirmed against Zyphros Capital’s actual practices and applicable law before public launch. Wyoming is proposed as the governing state and requires legal review.

Zyphros Capital is a business finance broker and is not a direct funder, bank, or financial institution. Zyphros Capital does not make credit decisions, issue funding commitments, or fund transactions directly. Merchant cash advances (MCAs) are offered by third-party funding partners within our network. Approval, pricing, terms and funding amounts are determined by the participating funder based on its underwriting criteria, which may include creditworthiness, revenue and business history. Services may not be available in all states.

Fee transparency & compensation

Zyphros Capital does not charge upfront application fees. We receive compensation directly from participating funding partners upon successful funding of an application. Any applicable fees and compensation should be disclosed in the documents provided for your transaction.

Credit inquiries

An initial inquiry or application typically involves a soft credit check, which does not impact your credit score. A funding partner may perform a hard credit inquiry to finalize approval. The nature of any credit inquiry and any necessary authorization should be explained before it is conducted.

No guarantee of funding

Submitting an inquiry or application or receiving a preliminary quote does not guarantee approval or specific terms. Final terms are issued by the participating funder.

Product classification

A merchant cash advance generally involves the commercial purchase and sale of future receivables and is not a traditional loan. Factor rates, remittance schedules and other provisions vary by funder and transaction. Review the agreement and all applicable disclosures carefully.

Terms and conditions

1. Brokerage role & services

Zyphros Capital operates as an independent commercial finance broker connecting commercial applicants with third-party funders. Zyphros Capital is not a direct funder, does not fund transactions directly and does not make credit decisions.

2. Sharing information

With your appropriate authorization, we may collect, store and share business and personal details, financial records, bank statements and contact information with selected funding partners to evaluate funding options. The website’s email inquiry form does not itself collect financial records or establish this authorization. Ask us for a secure method before sending sensitive documents.

3. Credit reports

When required to process an application, Zyphros Capital or a funding partner may request authorization to obtain commercial or personal credit reports and financial information from reporting agencies. The applicable request and authorization will identify the relevant parties and purpose.

4. Communications

If you provide contact information, we may contact you about your inquiry or application. Any consent for automated calls, text messages or marketing will be requested separately where required. Message and data rates may apply. To opt out of text messages, reply STOP; you may also contact us directly.

5. Third-party agreements and liability

Funding agreements are between the applicant and the participating funder. Zyphros Capital does not determine the funder’s decision or terms. Any limitation of liability must be reviewed and tailored to applicable law before these terms are used.

6. Governing law

These terms are proposed to be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. This provision is subject to legal review.
